Clear terms for working together.

Kaltheon helps subcontractors prepare monthly payment applications (the formal package submitted to a general contractor to get paid), including forms, lien waivers (documents giving up a legal claim against a property in exchange for payment), and related documents. Kaltheon uses artificial intelligence to help read forms and assemble documents; a deterministic calculation engine (software that always produces the same result from the same inputs) performs the actual math.

You are solely responsible for reviewing all documents before submission.

You must provide accurate information when creating an account and are responsible for activity under your account and for keeping your login credentials secure. You must notify us promptly of any unauthorized use.

Kaltheon is software, not a law firm or accounting firm. We do not draft or author legal language. Lien waiver text is either transcribed from your own documents or drawn from clearly labeled generic forms; you are responsible for confirming that any document is appropriate for your jurisdiction and project. Kaltheon does not replace your accounting system and does not provide legal, tax, or accounting advice.

You retain ownership of the data you upload or enter into Kaltheon, including contracts, schedules of values (the agreed price breakdown for a job), change orders (signed changes to contract price), and financial figures ("Customer Data"). We use Customer Data only to operate, maintain, and improve the Service for your organization. We do not sell Customer Data. Our use of artificial intelligence providers is governed by their commercial terms, which by default prohibit training their models on your data; see our Privacy Policy for detail.

Fees are as set out in your order form or account settings. Fees are billed in advance on the agreed cycle (monthly or annual) and, unless otherwise stated in your order, are non-refundable except as required by law or as separately agreed in writing.

You will not use Kaltheon to submit false or fraudulent billing information, to violate any law, or to interfere with the Service's operation or security.

The Service is provided "as is." We do not guarantee that any payment application will be accepted by a general contractor, that any specific days-to-payment outcome will occur, or that the Service is error-free. You remain responsible for reviewing all outputs before use.

To the maximum extent permitted by law, Company's total liability for any claim arising from the Service will not exceed the fees you paid in the twelve (12) months preceding the claim. Company is not liable for indirect, incidental, or consequential damages.

Either party may terminate as set out in your order form. Upon termination, your right to use the Service ends; we will make reasonable efforts to provide an export of your Customer Data on request for a limited period following termination.

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use after changes take effect constitutes acceptance.

These Terms are governed by the laws of the Province of Quebec, Canada, without regard to conflict-of-law principles.
